Who We Are
We are Souqi Ltd, incorporated under the Companies Scotland Act 2006, Company Number 862458, our registered office at Office 1225, 3 Fitzroy Place, 1/1, Sauchiehall Street, Finnieston, Glasgow, G3 7RH.
These Souqi (“we”, “our”, “us”) Vendor Terms and Conditions (‘Terms’) govern the relationship between the Marketplace Operator (‘Souqi’) and the Vendor (‘Vendor’) for the listing and sale of products on the Souqi platform. By registering as a Vendor, you agree to be bound by these Terms.

Governing Law
1.1 These terms are governed by the laws of Scotland. Any disputes will be handled by Scottish courts.

Vendor Eligibility
2.1 The Vendor must be at least 18 years old and be legally capable of entering into binding contracts.
2.2. You must provide accurate and complete registration information.
2.3 The Vendor must comply with all applicable laws and regulations in the jurisdictions in which they operate.
2.4 We reserve the right to reject or terminate the Vendor account for disclosing incorrect information or any breach of our terms.

Vendors Responsibility
3.1 Legal compliance – The Vendor must comply with all applicable UK laws, including Consumer Rights Act 2015, Consumer Contracts Regulations 2013, UK GDPR and any relevant trading standards.
3.2 Product Accuracy – Descriptions, prices and images must be truthful and not misleading.
3.3 Stock Fulfillment – The Vendor must ensure that they have sufficient stock and can dispatch orders within the advertised timeframes.
3.4 Customer Service – The Vendor is responsible for handling customer queries, returns and refunds for its respective items.
3.5 Prohibited Items – The Vendor may not list or sell items that are illegal, infringe intellectual property or are restricted under UK Law (including but not limited to counterfeit goods, unsafe products, or items banned for sale online).
3.6 Shipping Destinations – The Vendor will be responsible for determining which countries they are willing to ship to and for covering their shipping fee in full. Should the Vendor want to alter this, they should contact Souqi and Souqi is not responsible for the sales made while these settings are being updated.
3.7 Website API Data – The Vendor must supply all necessary data to sync the Marketplace and the Vendor’s existing website, should they have one. Souqi is not responsible for any losses as a result of inaccurate data supplied or a change in this data.

Conditions of Sale
4.1 Souqi reserves the right to select which items from a Vendor’s website to enlist on the marketplace and to reject items without formal justification or notifying the Vendor.
4.2 Souqi further reserves the right to remove products from the platform at its own discretion. Souqi is not required to notify the Vendor prior to removing an item from the platform.
4.3 Souqi reserves the right to change the date and frequency of payouts to the Vendor without prior notice.

Fees & Payments
4.1 The Vendors will receive the full amount of payment for each product minus the transfer fee and commission agreed upon.
4.2 The Vendor will be responsible for paying the shipping fee for every order, which will be re-imbursed as part of the Vendor’s payout.
4.3 Payments are made 7 pays after purchase to the Vendor’s nominated bank account via Paypal or another payment method. It is the Vendor’s responsibility to ensure that the account details are accurate and kept up to date.
4.4 The Vendor is responsible for paying their own taxes, including VAT registration (if applicable).
4. Orders and Fulfilment
4.1 The Vendor is responsible for processing and fulfilling customer orders promptly.
4.2 The Vendor must ensure that items are delivered within 10 working days.
4.3 The Vendor must ensure all shipments comply with applicable shipping regulations and include valid tracking information.
4.4 The Vendor must ensure that a confirmation email with tracking and returns information is sent to the customer as Souqi does not handle any order fulfillment or tracking.
6. Returns and Refunds
6.3 The Vendor is solely responsible for handling returns and this is not done through Souqi, rather the customer must reach out to the Vendor and this must be handled directly through the Vendor.
6.4 Souqi is not responsible for issuing refunds of the cost of the item or the shipping fee, this is solely the responsibility of the Vendor.
7. Compliance and Legal Obligations
7.1 Vendors must comply with all applicable laws, including product safety, consumer rights, data protection, and tax regulations.
7.2 Vendors trading internationally must ensure compliance with import/export laws and duties.
8. Intellectual Property
8.1 Vendors warrant that their listings do not infringe any third-party intellectual property rights.
8.2 The Souqi may remove listings that infringe IP rights without notice.
9. Limitation of Liability
9.1 The Souqi is not liable for indirect or consequential damages arising from Vendor’s use of the platform.
10. Termination
10.1 Souqi may suspend or terminate a Vendor’s account for breach of these Terms.
10.2 Vendors may terminate their account with 30 days’ written notice.
11. Governing Law and Jurisdiction
11.1 These Terms shall be governed by and construed in accordance with the laws of Scotland.
11.2 The courts of Scotland shall have exclusive jurisdiction to resolve any disputes arising from these Terms.
12. Marketing
12.1 Souqi offers complimetary marketing services to the Vendor, the details of which are agreed upon on a case by case basis with the Vendor.
12.2 Souqi reserves the rights to all marketing material procured while they are in possessions of these items.
12.3 The Vendor also has the right to access any marketing material produced by Souqi using the Vendor’s items.
12.4 The Vendor is required to mention and promote Souqi whenever they use the promotional material produced by Souqi for their items.
13. Amendments
13.1 Souqi may amend these Terms at any time by providing notice to Vendors.
13.2 Continued use of the Souqi after amendments constitutes acceptance of the revised Terms.
